What Clause Switcher does
Contracts are rarely black or white. Whether a liability clause, a contractual penalty or a non-compete is worded client-friendly, balanced or strict makes the difference in the worst case. Only you cannot see a clause severity if you are not a lawyer. The clause switcher makes this severity visible and adjustable by offering each clause in three graded variants.
On offer are thirteen typical contract clauses that appear in almost every business contract: liability and limitation of liability, warranty, contractual penalty, termination, jurisdiction, arbitration clause, force majeure, data protection, confidentiality, non-compete, IP rights, assignment and the severability clause. For each there are three severity levels: mild and client-friendly, standard and balanced, strict and provider-friendly.
The principle is a mixing console. You pick the clauses your contract should contain and turn the dial for each between mild, standard and strict. The switcher assembles the matching clause text from them. So you build yourself a contract that fits your negotiating position exactly, instead of taking a finished template and hoping it falls in your direction.
The risk scoring makes the consequences visible. Depending on how hard or mild you set the clauses, the risk shifts between the contracting parties. The switcher computes a risk score from your selection that shows you whether your draft protects you more or the other side more, so you decide deliberately instead of accidentally going too far in one direction.
The side-by-side comparison helps understanding. You see the three variants of a clause next to each other and read what concretely changes when you turn from mild to strict. What do the three severity levels mean?
Mild is worded client-friendly and protects the weaker side more. Standard is balanced and distributes the risk roughly evenly. Strict is provider-friendly and protects more the one who sets the clause. The switcher shows you all three versions for each clause, so you choose deliberately.
How does the risk scoring work?
The switcher weights your clause selection and their severity levels and computes a score from them, showing whether your draft favours you or the other side more. So you recognize at a glance whether you accidentally turned too far in one direction.
